These terms are an agreement between RocSite ("RocSite", "we") and the organization that subscribes to the service ("Customer", "you"). By creating a workspace, accepting an invitation into one, or using the service, you agree to these terms. If you are agreeing on behalf of an organization, you represent that you are authorized to bind it.
RocSite is a multi-tenant workspace: a wiki, an assistant that answers questions over your own content, notes, files, CRM, calendar and agenda tools, meeting rooms and transcription, and a programmatic interface (MCP) for connecting your own tools. Features available to you depend on your plan.
You own your content. Everything you and your members put into a workspace remains yours. RocSite claims no ownership of it. We process it only to provide the service to you, to maintain security, and as you instruct through your use of the features. We do not sell it, we do not use it to advertise, and we do not use it to train models for other customers.
You grant us the limited licence necessary to host, store, transmit, index, back up and display your content for the purpose of operating the service for you. That licence ends when the content is deleted or the agreement ends, except for backup copies which expire on the ordinary backup cycle.
You are responsible for your content: for having the right to put it into the service, and for it complying with the law and with the Acceptable Use Policy.
Each record in RocSite belongs to exactly one organization, and that boundary is enforced by the database itself through row-level security rather than by application code alone. This is a deliberate architectural commitment: an application bug cannot widen the boundary, because the database refuses the query. Where your plan provides a dedicated deployment, your workspace additionally runs against a separate database.

Fees are in US dollars and are billed in advance for each subscription period. Your plan determines the number of seats and the usage allowances available to your workspace; the allowance included in your plan governs, and inviting people beyond your seat count requires moving to a plan that includes them. Taxes are your responsibility where applicable.
Payments are processed by Stripe. RocSite does not receive or store card numbers.
We may change prices for a renewal period. We will give at least 30 days' notice before a price change takes effect for you, and you may cancel before renewal if you do not accept it.
Where a free trial is offered, the trial period and what it includes are stated at signup and in your workspace. A trial carries reduced usage allowances, converts to a paid plan only if you choose one, and may be ended by us at any time if it is used in breach of these terms or the Acceptable Use Policy.
Subscriptions renew automatically for successive periods unless cancelled before the end of the current period. Cancellation and refund terms are set out in the Refund and Cancellation Policy, which forms part of these terms.
Your use of the service is subject to the Acceptable Use Policy. We may suspend a workspace or an account that breaches it, or that presents a security risk to the service or to other customers. Where practical we will warn you first and give you an opportunity to fix the problem; where the risk is immediate we may suspend first and tell you promptly afterwards.
We aim to keep the service available and to give reasonable notice of planned maintenance. Unless your agreement includes a written service level commitment, the service is provided without a guaranteed uptime percentage and without a contractual credit for downtime. Each party may receive information of the other that is not public. Each will use it only to perform under these terms and will protect it with at least reasonable care. This does not apply to information that is public through no fault of the recipient, was already known to it, or is independently developed, and does not prevent a disclosure required by law.
Where we process personal data on your behalf, we do so as your processor under the Data Processing Addendum, which is incorporated into these terms. Our handling of personal data generally is described in the Privacy Policy.
Each party warrants that it has the authority to enter into this agreement. Except as expressly stated here, and to the fullest extent permitted by law, the service is provided "as is" and we disclaim all other warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted or error free, or that AI output will be accurate.
To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, goodwill or data, arising out of or related to this agreement, even if advised of the possibility.
Each party's total aggregate liability arising out of or related to this agreement is limited to the amounts paid or payable by you to RocSite in the 12 months immediately before the event giving rise to the claim.
These limits do not apply to your obligation to pay fees, to either party's indemnity obligations, or to liability that cannot be limited by law.
You will defend and indemnify us against third-party claims arising from your content or from your use of the service in breach of these terms or the Acceptable Use Policy. We will defend and indemnify you against third-party claims that the service, used as permitted here, infringes that third party's intellectual property rights. In each case the indemnified party must give prompt notice, allow the other to control the defence, and give reasonable cooperation.
We may update these terms. If a change is material we will give notice at least 30 days before it takes effect for you, by email to the workspace owner or in the app. Continuing to use the service after that date means you accept the updated terms.

RocSite's legal entity name and governing jurisdiction are not recorded anywhere in the
system, so they have deliberately not been guessed. Replace this block with the entity,
the governing law, and the venue, then remove the .todo styling.
This agreement is governed by the laws of [STATE / PROVINCE], [COUNTRY], without regard to its conflict-of-laws rules, and the parties submit to the exclusive jurisdiction of the courts located there. Each party waives any right to a jury trial and agrees that claims will be brought only in an individual capacity and not as a class action.
Neither party may assign this agreement without the other's consent, except to a successor of its business. If a provision is unenforceable, the rest remains in effect. A failure to enforce a right is not a waiver of it. These terms, together with the Acceptable Use Policy, Refund and Cancellation Policy, Data Processing Addendum and Privacy Policy, are the entire agreement between the parties about the service, and replace any prior understanding. Where a signed written agreement between us covers the same subject, that agreement controls.
